Acceptance of NFT Terms; Modification of NFT Terms

In order to provide its clients and users with the finest service possible, Funex NFT works tirelessly and with a commitment. It is owned and run by Funex Club, a cryptocurrency ecosystem that provides a variety of products and services for carrying out crypto-related operations. Each registered or unregistered end user (each, a "User", "you" or "your") of the Funex NFT Marketplace, located at nft.funexcoin.com or such other URL as may be designated by the Company from time to time, as well as any mobile apps or other related services or applications thereto (collectively, the "NFT Marketplace"), is bound by these Terms and Conditions ("NFT Terms").

According to the Funex Terms of Use ("Funex Terms"), which are outlined below, the NFT Marketplace is regarded as a component of the "Funex Services." According to the Funex Terms, the Company is a "Funex Operator." The Funex Terms, which also manage your use of and access to the NFT Marketplace, are incorporated by reference into these NFT Terms. The NFT Terms will take precedence over and govern the Funex Terms if there is a discrepancy between their terms.

Please carefully read the Funex Terms as well as these NFT Terms. You are considered to have read, accepted, executed, and agreed to be bound by these NFT Terms if you access and use the NFT Marketplace, including by making any purchases or placing any bids on any of the products here (including the Funex Terms as incorporated by reference herein). In our sole and absolute discretion, we reserve the right to modify the NFT Marketplace or these NFT Terms at any time. Any modifications to these NFT Terms shall be effective as of the date shown as "Last Revised" at the top of this page. You understand and agree that the structure and functionality of the NFT Marketplace, as well as any component of it, may occasionally change without prior notice to you. We also reserve the right to introduce new features, delete old ones, and modify any aspect of the NFT Marketplace.

DO NOT USE OR CONTINUE TO USE THE NFT MARKETPLACE IF ANY PROVISION OF THESE NFT TERMS, THE FUNEX TERMS, OR ANY FUTURE CHANGES IS UNACCEPTABLE TO YOU. FOLLOWING THE POSTING OF ANY NOTICE OF A CHANGE TO THESE TERMS OF SERVICE, YOUR CONTINUED USE OF THE NFT MARKETPLACE SHALL CONSTITUTE YOUR ACCEPTANCE AND AGREEMENT TO SUCH CHANGE.

Notice OF ARBITRATION: A CLAUSE FOR ARBITRATION IS CONTAINED IN THE FUNEX NFT TERMS. EXCEPT FOR CERTAIN TYPES OF DISPUTES MENTIONED IN THAT ARBITRATION CLAUSE AND GOVERNING LAW CLAUSE, YOU AND THE COMPANY AGREE THAT DISPUTES BETWEEN US WILL BE RESOLVED BY MANDATORY BINDING ARBITRATION IN ACCORDANCE WITH THE ARBITRATION CLAUSE AND GOVERNING LAW CLAUSE IN THE FUNEX TERMS, AND

CLASS-WIDE ARBITRATION FOR THE AVOID OF DOUBT, THE COMPANY IS A "FUNEX OPERATOR" FOR THE PURPOSES OF THE ARBITRATION CLAUSE.

Overview of the NFT Marketplace

The NFT Marketplace gives you the chance to create (or, as we like to say, mint), sell, buy, bid on, collect, exchange, showcase, and engage in other forms of digital blockchain commerce related to collectibles that can be represented as a non-fungible token (or "NFT") associated with specific digital works of art and media (or "NFT Media"). We function as a middleman to help buyers and sellers of NFTs complete their transactions, but we are not a party to any contract they may enter into on the NFT Marketplace. When you engage with the NFT Marketplace, we disclose transaction fees and any relevant fees that we earn income from. To be clear, NFTs that are traded on the NFT Marketplace are regarded as "Digital Assets" according to the Funex Terms. Although it is not necessary or compelled to do so, the Company has the right to intervene in any disputes resulting from transactions made through the NFT Marketplace, including those using auctions or other purchase methods.

For NFT Sellers: By minting, offering, or selling an NFT via the NFT Marketplace, you hereby represent and warrant that you either have full legal right, title, and interest in all intellectual property rights to any NFT Media linked to or associated with such NFT, or that you have been given legal permission by the owner of such rights to mint, offer, or sell the NFT via the NFT Marketplace. You must first deposit the NFT for sale for custody with the Company until the NFT is sold or you opt to withdraw the NFT from the NFT Marketplace before you may offer any NFT for sale on the NFT Marketplace, with the exception of NFTs minted on the NFT Marketplace. To be clear, the Company has no responsibility or liability to you for retaining any NFT Media connected to your NFTs or assisting you in retrieving them.

For NFT Buyers: When you buy an NFT, you become the owner of the NFT and any related NFT Media, but you do not get any ownership rights to the associated NFT Media outside of the stated licenses granted herein. In some circumstances, we could offer you information on an NFT vendor or assist you in evaluating the seller. These details are solely offered for informative reasons, though. You are entirely responsible for confirming the legitimacy, authenticity, and identity of any NFT you buy on the NFT Marketplace. Regarding the identity, validity, legality, morality, decency, quality, or authenticity of any NFT on the NFT Marketplace, we make no claims, warranties, or assurances. You recognise that the Company is not obliged or compelled to adjudicate or decide on any disputes in connection with any NFTs sold on the NFT Marketplace, despite any sale clearance time that may be instituted for the sale of any NFTs.

License to Your Content

You may be able to publish, upload, or submit material to be made accessible through the NFT Marketplace in conjunction with your use of the NFT Marketplace, including NFT Media that is related to NFTs you intend to sell on the NFT Marketplace as a seller, and any other content associated with your NFTs ("Your Content"). Except for the rights specifically provided below, you retain all rights to Your Content that you publish, upload, submit, or otherwise make accessible through the NFT Marketplace. To run the NFT Marketplace, we must secure certain licencing rights in Your Content from you so that our acts in operating the NFT Marketplace are not deemed legal breaches. As a result, by using the NFT Marketplace and uploading Your Content or otherwise making Your Content available, you grant us a licence to access, use, host, cache, store, copy, reproduce, transmit, display, publish, distribute, adapt, and modify (for technical purposes, such as ensuring content is viewable on smartphones as well as computers and other devices) Your Content in any and all media or distribution methods (now known or later developed) but solely as required t You agree that this licence includes the right for us to provide, promote, and enhance the NFT Marketplace, as well as make Your Content accessible to other companies, organisations, or people for distribution, marketing, or publication on other media and services. You agree that these rights and licences are royalty-free, transferable, sub-licensable, global, and irreversible (for as long as Your Content is stored with us), and include the right for us to make Your Content available to, and pass these rights along to, individuals with whom we have contractual agreements connected to the operation of the NFT Marketplace, and exclusively for the purpose of providing the NFT Marketplace, and to otherwise provide access to reveal Your Content to others.

As part of the preceding licence grant, you agree that other Users of the NFT Marketplace may comment on and/or tag Your Content, as well as use, publish, display, alter, or incorporate a copy of Your Content as part of their own use of the NFT Marketplace; provided, however, that the foregoing shall not apply to any of Your Content that you upload privately for non-public display on the NFT Marketplace. By publishing or submitting Your Content to the NFT Marketplace, you represent and warrant that you have or have obtained all rights, licences, consents, permissions, power, and/or authority necessary to provide the rights granted herein for Your Content. You agree that Your Content will not contain anything protected by copyright or other property rights unless you have the required authorization or are otherwise legally permitted to upload the content and grant us the licence specified above.

If you sell an NFT through the NFT Marketplace, you offer the buyer of the NFT a worldwide, non-exclusive, non-transferable, royalty-free licence to use, copy, and display the NFT Media for such acquired NFT only for the following purposes: The purchaser may use the NFT Media for any of the following purposes: (a) personal use; (b) as part of a marketplace that facilitates the buying and selling of such NFTs, so long as the marketplace cryptographically validates each NFT's owner's rights to display the NFT Media for their NFTs to guarantee that only the real owner may show the NFT Media; or (c) as part of a third-party website or application that facilitates the inclusion, involvement, or participation of

If you purchase NFTs, you understand and accept that the NFT Purchase License set out above is only effective as long as you are the legal owner and holder of the NFT connected with the licenced NFT Media. If you sell or transfer the NFT to another person, the NFT Purchase License will be transferred to the new owner or holder of the NFT, and you will no longer be able to enjoy the advantages of the NFT Purchase License. Unless otherwise indicated in writing by the seller of an NFT, your purchase of an NFT does not grant you the right to publicly display, perform, distribute, sell, or otherwise reproduce the NFT or any connected NFT Media for any commercial purpose.

If you sell an NFT, you agree that you will have no claims against the Company for any infringement of these NFT Terms by a purchaser, including if they make commercial use of the connected NFT Media in violation of these NFT Terms.

We reserve the right to remove or refuse to publish any of Your Content, including NFTs, (a) for any reason or no reason in our sole discretion; and (b) take any action with regard to Your Content that we deems necessary or appropriate in our sole discretion, including if we feel that Your Content violates these NFT Terms, infringes any intellectual property right of any person or organisation, threatens the personal safety of Users of the NFT Marketplace or the general public, or might create a liability for the Company or other Users.

Specific Terms for the Premium Platform and Creators

The Company provides a premium platform (the "Premium Platform") as part of the NFT Marketplace, which only allows creators who have been invited or otherwise approved by the Company ("Invited Creators") to mint and sell NFTs (the "Creator's NFTs") associated with their original NFT Media (the "Creator's NFT Media"). The Company may engage into an addendum (a "Creator Addendum") with any Invited Creator outlining the terms for utilising the Premium Platform as an Invited Creator. If a Creator Addendum and these NFT Terms conflict, the requirements of the Creator Addendum shall take precedence for such Invited Creator.

The Invited Creator hereby provides the Company a perpetual, irrevocable, and exclusive right and licence to use, reproduce, and display the Creator's NFT Media in connection with the marketing of the Creator's NFTs and the NFT Marketplace. To be clear, unless otherwise specified in a Creator Addendum, the exclusive licence granted above means that the Invited Creator cannot use, reproduce, or display the Creator's NFT Media in connection with non-fungible tokens or any other blockchain collectibles, platforms, or services, nor grant any other party any right to do so.

Invited Creator will supply the Company with high-resolution pictures and other embodiments of such NFT Media as reasonably required by the Company in order for the Company to execute its rights to the Creator's NFT Media. The Company shall have complete control over the promotion and marketing of the Creator's NFTs, including the exclusive discretion to choose certain Creator's NFTs or Invited Creators to participate in Company-hosted events. Invited Creator will assist the Company in the promotion or marketing of the Creator's NFTs as reasonably asked by the Company by participating in marketing activities as agreed upon by the parties in a Creator Addendum. In conjunction with the marketing and promotion of the Creator's NFTs, the Invited Creator hereby allows the Company the right to use the Invited Creator's name, image, photo, biography, signature, and likeness only in connection with the marketing and promotion of the Creator's NFTs.

Invited Creator will not promote or advertise the Company, the NFT Marketplace, or any Creator's NFTs in a misleading or fraudulent manner or in violation of applicable law. In any such promotion, Invited Creator must disclose any substantial link between Invited Creator and the Company in a clear and obvious way, including close proximity to any such marketing claims. The Invited Creator will not promote or market the Creator's NFTs in a way that gives buyers the impression that such NFTs are investment products or that they can expect capital appreciation or profits from the purchase of such NFTs, or that such NFTs may be classified as securities or any other type of regulated investment product in any applicable jurisdiction.

If the Company so requests, the Invited Creator will work reasonably with the Company to authenticate the validity of the Creator's NFTs and NFT Media.

The Invited Creator understands and accepts that for each sale of the Creator's NFTs on the Premium Platform, the Company will charge a platform fee of 10% (or other percentage as specified in a Creator Addendum) of the purchase price.

To prevent doubt, any usage or interaction with the Premium Platform by any User (including an Invited Creator) is controlled by the conditions in this Section 4 and the remainder of these NFT Provisions that are not in direct conflict with the terms in this Section 4.

Specific Terms for the Standard Platform and Initial Sale

The Company provides a standard platform (the "Standard Platform") as part of the NFT Marketplace, which allows any registered User to establish NFT collections (subject to paying an associated smart contract deployment cost) and mint and sell NFTs (the "Standard NFTs") connected with the User's NFT Media. Creators of Standard NFTs can now establish their own royalty charge for their NFT collections.

For an initial sale of a Standard NFT (i.e., the first time a freshly created Standard NFT is sold by the creator to a buyer), the transaction profits from the sale of the Standard NFT (the "Transaction Proceeds") should be frozen in the seller's account for a certain amount of time (the "Initial Sale Clearing Period") and then released to the seller.

The Company may extend the Initial Sale Clearing Length for an additional period of time (the "Extended Clearing Period") provided that:

A valid complaint is made by the buyer or a third party during the Initial Sale Clearing Period regarding a claim of intellectual property infringement, the identity, legitimacy, authenticity, and/or validity of legal title to the Standard NFT, a violation of the Funex Terms, these NFT Terms, and/or a breach of the terms of the NFT sale as agreed upon by the buyer and seller. Buyers must provide evidence that the Standard NFT in question is still in their account in order to support any claims they make, and they must consent to having the NFT frozen until the dispute has been resolved.

The buyer or third party who files a complaint must consent to Funex providing a copy of the complaint to the seller, together with the buyer's or third party's name and contact information.

The Company believes that the Standard NFT, the Standard NFT transaction, the seller's involvement with the Standard NFT, and/or the Transaction Proceeds are in breach of the applicable conditions of sale (including the Funex Terms and these NFT Terms) or any relevant laws and regulations.

After the Extended Clearing Period, the Company may only keep the Transaction Proceeds frozen if legal actions or government investigations against the seller have begun (and when such actions or investigations require the Transaction Proceeds to be frozen), or in any other situations that the Company considers appropriate in its sole discretion. In order to prevent any confusion, the Company retains the right to freeze and take other appropriate measures with respect to the Transaction Proceeds (being Digital Assets or monies in a Funex User's Account) in line with the Funex Terms, regardless of whether the circumstance is specifically covered by this Section S. In certain situations, the Company is allowed to decide how long to keep the freeze in place while the disagreement is being resolved. The Company could have the right to release the Transaction Proceeds to the seller if it doesn't receive confirmation that such a formal legal action or complaint has been brought within the Extend Clearing Period.

The Company will need written confirmation of the disagreement's settlement from all parties before it may proceed to deliver the Transaction Proceeds to the seller if the complainant and the seller are able to settle the issue at any point.

There shall be no freezing as part of any secondary sale of Standard NFTs, and the Company shall have no liability or obligation for any act or omission in respect to the freezing (or failure to freeze) of the Transaction Proceeds.

The "NFT Minting Rules," which contain instances of improper material and our ability, at our sole discretion, to do things like delist or otherwise remove your NFT collection(s) or Standard NFTs from the NFT Marketplace, are also acknowledged and agreed to by the person minting a Standard NFT.

For the avoidance of dispute, any use of or interaction with the Standard Platform is subject to the provisions of this Section 5 and any other provisions of these NFT Terms that do not directly conflict with those provisions.

Copyright Policy

The Company may check the NFTs, NFT Media, and Your Content posted to the NFT Marketplace for any infringement of a third party's intellectual property rights, but it is not required to do so. However, the Company is unable to guarantee the fast removal of objectionable content after it has been submitted and is unable to commit to reviewing all such content before it is placed on the Service. In light of this, the Company disclaims all responsibility for any actions related to transmissions, communications, or content provided by users or third parties. In response to Digital Millennium Copyright Act takedown notifications and/or other accusations of intellectual property infringement, the Company will remove NFTs, and if the seller is shown to be a repeat offender, the Company will terminate the seller's access. You can send a written notification to our legal department alleging that any text, graphics, photos, audio, videos, or other works uploaded, downloaded, or appearing on the Services have been copied in a manner that violates third-party intellectual property rights by including the following details:

identifying the allegedly infringing work that is copyright protected;

identification of the allegedly illegal content that is asked to be deleted, together with information on where it may be found on the NFT Marketplace;

(c) information that will let our copyright agent get in touch with you, including your address, phone number, and email;

(d) a declaration stating that you believe in good faith that the claimed infringing use is not permitted by the copyright owners, their agent, or the law;

(e) a declaration that the information provided above is true and, under penalty of perjury, that you are the owner of the copyright or the person who has the authority to act on behalf of the owner; and

(f) the written or electronic signature of a representative with the authority to speak for the owner of the copyright or of the allegedly infringing exclusive right.

Notices of copyright infringement claims should be sent by mail to: Funex club, Krokuvos g. 53-3, LT-09306 Vilnius; or by e-mail to [email protected]. Our policy is to disable or cancel the accounts of Users who regularly violate the copyrights or intellectual property rights of others, as we see fit and at our discretion.

Any NFT Marketplace user who has uploaded or posted content that has been flagged as infringement in the manner outlined above is permitted to submit a counter-notification. We reserve the right to decide whether to reinstate the postings or content in question after receiving a counter-notification. You must send us a written message (through normal mail or email) that outlines the following in order to submit a counter-notification:

your name, address, contact information, email address, and handwritten or digital signature;

Identification of the content that has been deleted or to which access has been restricted, as well as the page where the content was present before it was deleted or to which access was restricted; and

a statement made under penalty of perjury stating that you have a good faith conviction the material was taken down or disabled due to a typo or misidentification of the content that needed to be taken down or disabled.

Please be aware that you will be responsible for damages if you materially claim that the content or a certain conduct does not violate someone else's copyright.

7. Restrictions on Marketing and Promotional Activities and Logo Use

Any marketing and promotional activities you perform in conjunction with your use of the NFT Marketplace, whether digital, print, or otherwise, are subject to our inspection and prior written consent. We will only allow marketing and promotional efforts to be referred to as Funex NFT partnership (but not with Funex). You should provide any such marketing and promotional strategy and materials for our evaluation, as well as any information that we reasonably seek. The strategy should include all critical information, such as facts on the necessary NFT initiatives, all planned media channels or distributors, relationships between different counterparties, and so on.

There may be no discussion of token-related matters or any connotation linked to token issuing or listing, or partnership with Funex. You must not create and/or publish any marketing or promotional materials that may: (a) be deemed false and misleading; (b) violate or infringe the rights of any third party, including intellectual property rights; (c) violate any applicable laws and regulations; (d) violate any of our guidelines or instructions that may be made available to you; or (e) bring Funex and/or NFT Marketplace into disrepute or damage their goodwill. We maintain the right to reject any plan or activity in its whole at our sole discretion, as well as the right to seek any modifications or suspensions to be made to such a plan and activity that we feel necessary.

We may, in our sole discretion, allow you to use the Funex Marks for the express purpose of marketing or promoting your NFTs on the NFT Marketplace, subject to any additional rules that may be made available to you. The terms of any such guidelines made accessible to you are expressly incorporated into these terms by reference herein. Without our prior written consent, you may not use Funex's name, logo, or trade names, or any other marks ("Funex Marks").

You agree to hold us harmless from any and all liabilities, costs, expenses, damages and losses (including, without limitation, any direct, indirect or consequential losses, loss of profit, loss of reputation, loss of goodwill, and all interest, penalties and legal costs (calculated on a full indemnity basis), as well as all other professional costs and expenses) resulting from or connected with any such marketing and promotional activities that you carry out in connection with your use of the NFT Marketplace.

8. Verification and Payment

You must provide and keep up-to-date payment data associated with your Funex Account (as defined in the Funex Terms) with us whenever you make purchases through the NFT Marketplace, including but not limited to any purchase for NFTs. By using the NFT Marketplace to make any purchases, you represent and declare that the payment method you choose to use can be used by you legally. You give us permission to charge the full amount of your purchase price to your chosen payment method. If the payment method cannot be validated, is invalid, or is otherwise unacceptable, your order may be suspended or cancelled for any reason. The appropriate portions of the Funex Conditions provide additional payment terms for purchases.

For any claims or losses that may follow from any payments or transactions you make through the NFT Marketplace or from any other payments or transactions you carry out through the NFT Marketplace, we have no responsibility to you or any third party. For any purchases you might make on or via the NFT Marketplace, whether for NFTs or anything else, we do not offer returns.

Excluding for income taxes levied on us as a consequence of any purchases of NFTs, you will be entirely responsible for paying any and all sales, use, value-added, and other taxes, levies, and assessments (except taxes on our net income) now or later claimed or imposed by any governmental entity related with your use of the NFT Marketplace or NFTs.

9. Assumption of Risks

DO YOUR OWN RESEARCH. You agree and understand that (i) the value of an NFT is arbitrary; NFT prices are prone to volatility; and NFT prices can be considerably and negatively impacted by changes in the price of cryptocurrencies. (ii) The potential value of NFTs may suffer from a lack of utilisation or public interest. (iii) The regulatory framework governing NFTs is ambiguous, and additional rules or policies might substantially harm NFTs' usefulness. And (iv) there are risks involved with buying products connected with third-party content through peer-to-peer transactions, including but not limited to the risk of buying fake items, items that have been mislabeled, items that are susceptible to metadata deterioration, items that are on smart contracts with flaws, and items that could end up being untransferable. Before deciding to sell, acquire, transfer, or otherwise deal with any NFTs, you represent and certify that you conducted adequate research. You further acknowledge and agree that it is solely your responsibility to conduct all necessary due diligence for all your activities involving NFTs. Additionally, you affirm and warrant that you have not relied on any statements or representations made by the Company and/or Funex (as defined in the Funex Terms) in connection with any sale, buy, transfer, or other interaction with any NFTs, and that you will not be entitled to any recourse in this regard.

Any transaction involving an NFT that you carry out, accept, or arrange outside of the NFT Marketplace is solely at your own risk. You confirm that you have gathered enough information to make a well-informed choice about buying an NFT, including thoroughly reading the smart contract and NFT code and accepting their functionality. Outside of the NFT Marketplace, we have no control over or endorsement for the buying or selling of NFTs. We clearly disclaim any responsibility for any damages you could suffer as a result of transacting in or enabling transactions in, NFTs outside of the NFT Marketplace. We further disclaim any duty to compensate you or hold you blameless.

Third Party Materials" refers to content, data, information, applications, or materials that may be displayed, included, or made available in certain areas of the NFT Marketplace. By using the NFT Marketplace, you understand and accept that the Company is not liable for checking or assessing the Third Party Materials' correctness, completeness, timeliness, availability, validity, adherence to copyright laws, legality, decency, quality, or any other element. For any third-party services, third-party materials, or any other third-party materials, goods, or services, we make no representations, warranties, or endorsements, and we do not assume and will not have any duty or obligation to you or any other person.

If you have a dispute with one or more users, You DISCHARGE US FROM ALL CLAIMS, DEMANDS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR RELATING IN ANY WAY TO SUCH DISPUTES. IN ENTERING INTO THIS RELEASE, YOU EXPRESSLY WAIVE ANY PROTECTIONS (WHETHER STATUTARY OR OTHERWISE) THAT WOULD OTHERWISE LIMIT THE COVERAGE OF THIS RELEASE TO INCLUDE ONLY THOSE CLAIMS YOU KNOW OR SUSPECT TO EXIST IN YOUR FAVOR AT THE TIME OF AGREEING TO THIS RELEASE.

10. Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY LAW, YOU AGREE THAT THE COMPANY WILL NEVER BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFIT OR ANY INDIRECT, CONSEQUENTIAL, EXORBITANT, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES RELATED TO THE LOSS OF REVENUE, LOSS OF PROFIT, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, OR LOSS OF DATA, WHETHER CAUSED BY NEGLIGENCE, BREACH OF CONTRACT, OR OTHER CIRCUMSTANCES, EVEN IF PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICE, PRODUCTS, OR THIRD-PARTY SITES AND PRODUCTS.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, IN NO EVENT SHALL THE COMPANY'S MAXIMUM AGGREGATE LIABILITY ARISING OUT OF OR IN ANY WAY RELATED TO THESE TERMS, THE ACCESS TO AND USING  OF THE SERVICE, CONTENT, OR NFTS EXCEED $100.

10. Termination
